2 The purpose of FIT is to set out and describe the criteria that:(1) an SMCR firm should consider when:(a) assessing the fitness and propriety of a candidate whom the firmis proposing to put forward for approval as an FCA-approved SMFmanager;(b) assessing the continuing fitness and propriety of a personapproved to perform the function of an FCA-approved SMFmanager, including for formulating an opinion about whetherthere are any grounds on which the regulator could withdrawthe approval given to that individual to perform that functionunder section 63(2A) of the Act;(c) assessing the fitness and propriety of a person whom the firm isproposing to certify to perform an FCA certification function;(d) assessing the continuing fitness and propriety of a person whomthe firm has certified to perform an FCA certification function;and(e) (in the case an FCA-authorised person that is not a limited scopeSMCR firm) assessing the fitness of a non-SMF board directorFIT 1 : GeneralSection : Application and Release 17l Mar 1/3subject to competence requirements under the competentemployees rule, any onshored regulation or any otherrequirement of the regulatory system.

3 (2) the FCA will consider when assessing the fitness and propriety of acandidate for a controlled function, including a designated seniormanagement function (see generally n SUP 10A and n SUP 10C onapproved persons), and may consider when assessing the continuingfitness and propriety of approved persons.[deleted][deleted]FIT 1 : GeneralSection : Release 17l Mar 1 section 60A(1) of the Act, before a firm may make an application forthe FCA's approval of a controlled function the firm must be satisfied thatthe person for whom the application is made is a fit and Proper person toperform that section 61(1) of the Act (Determination of applications), the FCA maygrant an application for approval made under section 60 (Applications forapproval)

4 Of the Act only if it is satisfied that the candidate is fit and properto perform the controlled function to which the application section 63F of the Act, a firm may issue a certificate to a person toperform a certification function only if it is satisfied that the person is a fitand Proper person to perform that sections 60A and 63F of the Act, in assessing whether a person is a fitand Proper person to perform an FCA designated Senior managementfunction or an FCA certification function, a firm must have particular regardto whether that person:(1) has obtained a qualification; or(2) has undergone, or is undergoing, training; or(3) possesses a level of competence; or(4) has the personal characteristics;required by general rules made by the key general rules relating to the criteria listed in n FIT include:(1) in the case of very Senior Employees , n SYSC (persons whoeffectively direct the business) and n SYSC (management body);(2) for Personnel of firms generally, the competent Employees rule;(3) in relation to retail activities, n TC , n TC and n TC ( Employees ' competence).

5 And(4) for those who are Employees of insurance firms, n SYSC 1 : GeneralSection : Release 17l Mar 1/5[deleted][deleted]Under section 63(1) of the Act (Withdrawal of approval), the FCA maywithdraw an approval under section 59 given by the FCA or the PRA inrelation to the performance by a person of a function if it considers that theperson is not a fit and Proper person to perform the Act does not prescribe the matters which the FCA should take intoaccount when determining fitness and propriety. However, section 61(2)states that the FCA may have regard (among other things) to whether thecandidate or approved person:(1) has obtained a qualification; or(2) has undergone, or is undergoing, training; or(3) possesses a level of competence; or(4) has the personal characteristics;required by general rules made by the FCA.

6 [deleted]Where the application relates to a function within a Solvency II firm and isfor an FCA controlled function which is also a Solvency II Directive keyfunction as defined in the PRA Rulebook: Glossary, then the FCA will alsohave regard to the assessment made by the firm as required in article 273 ofthe Solvency II Regulation (EU) 2015/35 of 10 October 2014; Rules and the PRA Rulebook: Solvency II Firms: Insurance - fitness and Propriety, andother factors, as set out in EIOPA Guidelines on system of governance dated28 January 2015 (see Guideline 16).[deleted]For as long as the standstill direction referred to in n SYSC ,n SUP and n SUP is in force, the guidance in n FIT andn FIT in the version of the FCA Handbook that was in forceimmediately before IP completion day is still 1 : GeneralSection : Assessing fitness and Release 17l Mar 1 fitness and proprietyThe FCA will have regard to a number of factors when assessing the fitnessand propriety of a person to perform a particular controlled function, asmore particularly described in n FIT 2 (Main assessment criteria).

7 The FCA would expect firms that are required to assess the fitness andpropriety of staff being assessed under FIT to have regard to substantiallythe same factors as those outlined in n FIT the FCA's view, the most important considerations will be the person s:honesty, integrity and reputation;competence and capability; andfinancial assessing fitness and propriety, the FCA will also take account of theactivities of the firm for which the controlled function is or is to beperformed, the permission held by that firm and the markets within which firm assessing the fitness and propriety of staff being assessed under FITshould consider:(1) the nature, scale and complexity of its business, the nature and rangeof financial services and activities undertaken in the course of thatbusiness.

8 And(2) whether the candidate or person has the knowledge, skills andexperience to perform the specific role that the candidate or person isintended to firm is reminded that, in assessing a candidate for a position within themanagement body of the firm, n SYSC (3) requires the firm to ensurethat the management body, as a collective, possesses adequate knowledge,skills and experience to understand the firm's criteria listed in n FIT to n FIT are guidance and will be applied ingeneral terms when the FCA is determining a person's fitness and 1 : GeneralSection : Assessing fitness and Release 17l Mar 1/7It would be impossible to produce a definitive list of all the matters whichwould be relevant to a particular determination.

9 A firm assessing the fitnessand propriety of staff being assessed under FIT should be guided bysubstantially the same criteria in n FIT to n FIT (to the extent applicableto the firm), recognising that this is not intended to be a definitive list ofmatters to be a matter comes to the FCA's attention which suggests that the personmight not be fit and Proper , the FCA will take into account how relevant andhow important it is. In the same way, if a matter comes to the attention of afirm which suggests that any staff being assessed under FIT might not be fitand Proper , the firm should take into account how relevant and howimportant that matter firm assessing the continuing fitness and propriety of an approved personis required to notify the FCA under section 63(2A) of the Act if it forms theopinion that there are grounds on which the FCA could withdraw itsapproval (see n SUP ).

10 In discharging its obligation to notify theFCA, a firm should take into account how relevant and how important thematter is that comes to its attention which suggests an approved personmight not be fit and Proper before determining that a notification should relation to a firm assessing continuing fitness and propriety of anapproved person under section 63(2A) of the Act during a temporaryabsence, see the guidance at n SUP firm assessing the continuing fitness and propriety of staff being assessedunder FIT should assess the role that the individual is actually performing atthe time the assessment is done.
