DEFINITIONS AGENT BANKING Agentbankingistheprovisionoffinancialser vicestocustomersbyathirdparty( AGENT )onbe halfofalicenseddeposittakingfinancialins titutionand/ormobilemoneyoperato(princip al).Principal Fothepurposesofthisdocumenttheprincipals hallatalltimesbeadeposittakingFinancialI nstitutionand/orMobileMoneyOperator(MMO) . AGENT Anagentisanentitythatisengagedbyafinanci alinstitutiontoprovidespecificfinancials ervicesonitsbehalfusingtheagent Fothepurposeofthisguidelines;anassociate ofanFImaybeanemployee(currentorformer),h is/herrelations,includingspouse,parent,c hildrenoanypersonwithapecuniaryinterestw iththeFinancialInstitution(FI). Premises Institution (FI) Fothepurposesofthisdocumentafinancialins titutionshallbeanyinstitutionlicensedbyt heCBNtoacceptdepositsandconductbankingoo thefinancialservicesasdefinedbyBOFIA andthelicensedMobileMoneyOperatorsThird Party Service Providers BANKING Database Thisshallmeanthedatabaseofallapprovedage ntbankingrelationships,locations, AGENT ASoleagentisanagentwhodoesnotdelegatepow erstootheagentsbutassumesagencyrelations hip/responsibilitybyhimself.

FeasibilityStudyfotheagentrelationship Documentary requirements Allapplicationsfoagentbankingshallbeaddr essedtotheDirector, BANKING &PaymentsSyste mDepartment,CBN,Abujaandaccompaniedwitht hefollowing:i. BoardApprovalii. Adocumentthatshalloutlinethestrategyofth eFIincludingcurrentandpotentialengagemen ts,geographicalspreadandbenefitstobederi vediii.

MINIMUM REQUIREMENTS OF AGENT BANKING CONTRACT i. Anexistingwellestablishedcommercialactiv itywhichhasbeenoperationalfoatleasttwelv e(12) Notbeenclassifiedasanon-performingborrow ebyanyFIinthelast12months 12 precedingthedateofsigningthecontract(suc hinformationhavingbeenobtainedfromlicens edCreditBureaux).

7 Fopurposesofcarryingoutanassessmentundet hisclause,theproposedagentshallcompletea n AGENT assessment ,anyentitythatseekstobeappointedasanagen tbyaninstitutionshallfurnishtheinstituti onwiththefollowinginformationasapplicabl e:i. Nameoftheentityproposedtobeanagent;ii. Certificateofincorporationobusinessregis tration;iii. Descriptionofthecommercialactivitytheent ityhasbeencarryingonfothelasttwelvemonth simmediatelyprecedingthedateoftheapplica tion;iv. Validbusinesslicenceopermitfoanyregulate dcommercialactivitycarriedonbytheentityf oatleasttwelvemonthspriotothedateoftheap plication;v. Auditedfinancialstatementsfothelasttwoye arswhereapplicable;vi. Taxclearancecertificate;vii. Physicallocation,postaladdressandtelepho nenumbersofthe entityanditsworkinghours;viii. Evidenceofavailabilityoffundstocoveagent operationsincludingdepositsand withdrawalsbycustomers,andix. AnyotheinformationtheFImayrequire. x. Whereaprospectiveagentisunabletomeetther equirementsin(i-ix)above,itisnotpreclude dfrombeingasub- AGENT , ,partners,officersoemployeesfurnishanFIw ithfalseoinaccurateinformationundethisPa rtshallbedisqualifiedfrom 13 MORAL AND PROFESSIONAL SUITABILITY OF A PROSPECTIVE AGENT i.

8 FIsshallassessthemoral, Inthecaseofacorporateentity,theFIshallas sessthemoral,businessandprofessionalsuit abilityofthechiefexecutiveofficeandtheof ficer(s) ThepersonsmentionedinClausesiandiishall, fothepurposeofsuitabilityassessmentundet hisPart,furnishtheFIwithadulycompletedag entappraisalformforsoleproprietor,partne r,andcorporateentity. iv. Inassessingthesuitabilityofacorporateent ity,soleproprietor,partnersoofficersofac orporateentity,theFIshallhaveregardtothe following:a. TheFIshallensureeffectivemanagementovers ight,whichshallencompassthereviewandappr ovalofkeyaspectsofitssecuritycontrolprog rams,processes, TheFIshallensuretheexpansionofthescopeof thebank TheFIshalltakestepstoupdateandmodify,whe renecessary, TheFIshalltrainagentstoenablethemadequat elyperformoperationsandprovidetheservice sagreedupon,includingtrainingrelatingtot hepropeidentificationofcustomers,custome service,confidentialityofinformation,rec ordkeepingandfinancialeducation. PERMISSIBLE ACTIVITIES i. Billspayment(utilities,taxes,tenementrat es,subscriptionetc.)

Continuewiththeagencybusinesswhenithasap rovencriminalrecordinvolving fraud,dishonesty, Provide, Openaccounts, BerunomanagedbyanFI FImayinthecontractdocumentspecifyotheact ivities,whichtheagentisprohibitedfromund ertaking. 17 OPERATIONAL AND TRANSACTIONAL LIMITS i. Thelimitsshallbeprudentandbeaarelationto thevolumeofcashmovedbytheagentandtherisk sassociatedwiththeagent Limitsshallbesetfoeachagentandwhereappli cable, RULES ON EXCLUSIVITY OF AGENTS i.
