1 JSM Enterprises A History of Success JSM Enterprises started its roots in property manangement in 1967 and branched into for-profit development in 1991. Our corporate offices are stragecially located in Campbell, CA near to the majority of our interests. Our first project, Curtner Gardens, was an SRO built in the San Jose area. Its core function was to provide an affordable housing alternative to Bay Area residents. Since its completion in the early nineties, our focus has been on the development of affordable multifamily and senior communities. The past 15 years have seen the completion of 13 apartment projects containing a total of over 1,400 units.

2 Three more projects are currently nearing completion and will bring our portfolio to 17 buildings with over 2,000 units at a total cost of over $350 million. In light of the emerging market trends JSM has trained our focus on the for-sale housing market. More specifically, we have focused on the moderately priced, single family attached and detached and condo markets. Our first project, consisting of 14 row houses, was an enormous success and has lead to our securing a variety of development sites throughout the greater San Francisco Bay Area. We look forward to continued growth on our new path.

3 Executive Bios - James S. Morley - Our President and Founder has been involved in real estate for nearly 40 years. Having founded California Real Estate a great deal of previous experience in the field of apartment management, Jim took the next logical step and began the development of his own residential communities. Today his role lies mainly in the area of businesss development including with investors, lenders and government officials. A great deal of his attention is also focused on the overseeing of current projects and the successful management of those already in service. - Tom Dashiell - Mr.

4 Dashiell has represented JSM Enterprises , Inc. and its affilitaed companies at General Counsel since 1994. He has expertise in all aspects of real estate development, including land use, debt and equity financing, and affordable housing-related issues, including tax credits and tax-exempt financing. Mr. Dashiell has acted JSM's attorney in all of its affordable housing projects, and in connection with the market rate Colma BART project currently nearing completion, in which Mr. Dashiell documented a land lease transaction with SamTrans, as well as the debt and equity financing for the project.

5 He will be focusing on JSM's new development opportunities, as well as continuing in his role as legal counsel to the JSM. entitites. Mr Dashiell earned his degree in law from Harvard. - Mark C. Ruebsamen - Mr. Ruebsamen is JSM's Vice President of Project Management. His responsibilities include all apsects of the construction management process for multifamily and for sale housing. Areas of concentration include project management, construction budget and timeline development and management, due diligence analysis, design approvals and construciton oversight. - William Colin Gray - is JSM's Vice President of Acquisitions.

6 His foundations in real estate began at USC where he graduated with a degree in Real Estate Finance. Subsequent jobs broadened his horizons to include the areas of real estate analysis in the High Tech sector and later commercial real estate practices in San Francisco. His duties include all aspects of new business development and analysis, including pro-formas, due diligence studies and broker relations. Additional duties include project management and entitlement of the for-sale developments including budgets, timelines, general contractor oversighte and city relations. Colin also serves as the information technology and security manager for JSM.

7 Our Buildings Each of our projects is site specific and responsive to its community's character. They are thoughtfully designed by carefully selected and experienced architectural firms. We work very closely with each of these firms to create projects which are both economically viable and responsive to the governmental and neighborhood concerns. Much of our success can be attributed to our ability to listen. This ability to listen carefully to community stakeholders and to translate those concerns into a quality design which fits its surroundings and caters to the goals of the various parties involved truly set us apart.

8 However, non of these projects could have been successes without the creative implementation of the various types and levels of financing required. All of our projects have involved some combination of tax credit equity, tax exempt bonds, city grants and loans, institutional equity, private equity and more recently unsubordinated ground leases. Our extensive exprience in the formulation of these complicated financing layers, working with public agencies and the compliance issues surrounding affordable housing places us among the few truly experienced developers that are capable of understanding these financial challenges and who are able to successfully put these types of projects together.

9 The careful handling of the many facets involved in the planning, design, approval, construction and property management of our developments has led to the development of a capable and experienced development staff. JSM. provides in-house project management, accounting, insurance monitoring, legal counsel and a strong analytical team. Each of these attributes leaves us poised for success into the coming years.
