2 It is our expectation that the governing board, which will not have more than 25 members, will have certain reserved powers including hiring and firing of key management personnel, budgetary authority and financial oversight of the organization, declaration of any dividends or distributions, determination of any additional capital calls, and approval of any merger, dissolution or sale. Each member's share in the profits or losses of the organization or upon sale or dissolution would be proportional to their membership units. If you decided that you didn t want to participate at this level, (yourself or with a group) we would still hope that you would participate in the Regional Advisory Committee that includes your County(ies) to be developed once we know who/where our partners are. What is the $ million in start up capital based on?

3 The $ million in start up capital is our best estimate of the start up costs, in addition to any grant money. It will be used to develop and purchase the necessary infrastructure, including the IT network and software for the new organization, recruit and support core/key staffing, develop a provider network, and otherwise fulfill required CCO/HH readiness activities prior to when we are able to start billing and being reimbursed for CCO services. If I am interested in becoming an equity partner and purchasing one or more membership units, what are the next steps? In addition to signing the Confidentiality and Non Disclosure agreement, LIFEPlan is in the process of preparing a Subscription Agreement for the purchase of membership units in LIFEPlan CCO NY, LLC. The Subscription Agreement will provide for the funds to be held in escrow pending formal approval of LIFEPlan CCO NY as one of the NYS Regional CCOs.

4 These executed subscription agreements will validate the financial viability and strength of our proposed CCO, in support of our application. Is it possible for me to complete the Letter of Intent for 2 CCOs? No, unfortunately you will need to choose one (this is per OPWDD's design). Would LIFEPlan consider agencies maintaining as long term downstream providers if that is allowable by OPWDD? Yes, like all of the CCOs at the end of the day we are going to have to balance our budgets, but we are not in a big rush to move providers under the CCO. This is going to be a huge undertaking with many moving parts and we want to make the transition as smoothly and with as little disruption for staff and individuals as possible. What would be the pay scale and benefit package for the Care Coordinator position? This has not been worked out yet.

5 We are in the process of gathering letters of intent and confidentiality and non disclosure agreements with our partners so that we can begin to share comp information, among other things. We are sure that compensation plans vary widely and we need to know where we are starting from. That said, until MSC agencies are required to move under the CCOs you could continue to offer your staff the same compensation package. What is the plan to absorb our participants, should my MSC's choose not to be absorbed? OPWDD's plan, is to passively enroll all participants into a CCO effective 7/1/18. Once in the CCO they will be presented with the option to change CCOs if they so desire, or to opt out of enhanced care management and just receive basic care coordination services (details for that have not been provided by OPWDD yet). Would you come to our agency and present on LIFEPlan so that my MSCs have all the information necessary to make an informed decision about their future?

6 Of course. My agency (also) provides OPWDD Home & Community Based services. Is there a role for those services within the CCO? Similar to existing Health Homes for other populations, the CCO will only provide care management services however, also like current Health Homes, the CCO will be required to have a robust network of service providers, including those who provide OPWDD Home & Community Based Services. We would welcome having your services as part of our network and plan to include our network providers on our website, , as a resource/reference for care coordinators, individuals, and their families.
