1 MASSANUTTEN PROPERTY OWNERS association , INC. 3980 MASSANUTTEN DRIVE MASSANUTTEN , VIRGINIA 22840 TEL: 540/289-9466 FAX: 540/289-9406 Web site: email: MPOA Membership Annual Meeting Minutes May 17, 2008 President Betty Newell called the MASSANUTTEN PROPERTY OWNERS association Annual Membership Meeting to order at 2:09 in the MASSANUTTEN Ski Lodge with approximately 60 PROPERTY OWNERS in attendance. President Newell called for a verification of a quorum. Administrator Miller verified a quorum was present. President Newell introduced the Board of Directors and asked that they stand to be recognized. President Newell requested that Administrator Miller introduce the MPOA office staff.

2 President Newell also recognized attorney Jay Litten. President Newell requested a motion for approval of the Minutes of the May 19, 2007 annual meeting. PROPERTY owner Carter Miller made a motion to accept the Minutes as distributed and PROPERTY owner Flo Hall made the second. The motion carried. Financial Manager Gary Monger presented the request to use Tax Resolution for Revenue Ruling 70-604 for income tax deferral year ending December 31, 2007. President Newell called for a motion to accept this request. A motion was made by PROPERTY owner Harry Hall to accept this deferral, and a second was made by Jim Gallant. The motion carried. President Newell requested Carter Miller, MPOA Administrator, to introduce the candidates for the four vacant Board seats.

3 The candidates are incumbent Clinton Robertson, incumbent Edward Shuff, Kristen Allworth, Eric Rynar, Marjorie Klawiter & Michael Houliston. A call for the ballots was made. Tally Committee members Rick Childs, Marty Wall and Laurel Burcham collected the ballots for counting. Treasurer Michael Chelst presented the treasurer s report. There were no questions from the floor. Great Eastern representative, Candy Matthews gave the developer s report. PROPERTY OWNERS receive a 20% discount at the water park and a 50% discount on Fridays only. Birthday parties and annual passes are available at the water park. Great Eastern purchased Jean Nelson s PROPERTY for a water tank. Mrs. Matthews announced the dates of the Valley Beer and Wine, Summer Jam on July 3, 2008 and the Fall Festival on October 3, 2008 MPOA Membership Annual Meeting Minutes May 17, 2008 President Newell gave her President s Report, opening with the statement It was the best of times, it was the worst of times referring the Charles Dickens novel The Tale of Two Cities.

4 President Newell announced based on the advice of the attorney there would be no discussion regarding the rental lawsuit. President Newell reported on the improvements made during the past year (expansion of conference room, replaced pool steps, added arbor, tree removal, OWNERS lane at entrance, paved Lanier Lane, also water, electric and walking trails at the arboretum). She also reported that the Go Karts had a successful first year and the miniature golf continues to do well. The Board has approved a personnel manual and job descriptions with drug and health plans in place. President Newell and Carter Miller met with Congressman Goodlatte to speak with him about getting the Post Office to deliver oversized packages and/or mail requiring a signature to homes.

5 Ballot envelopes were changed to prevent void ballots. Meet the Candidate s Night went well and was organized. A Code of Conduct has been created for the Board of Directors. A (CERT) Citizens Emergency Response Team meeting was held with Robbie Symons Chief of Rockingham County Fire and Rescue. President Newell recommended to anyone who has not seen the MPOA web site to check it out. She recognized the following committees and ask any members in attendance to stand; LRPC, GAM, A&ECC, Social, Welcome, Rules, Lions Club & Women s Club. She also commended the Maintenance Department staff for doing a good job. She announced plans for a larger Police Department. All managers have green goals.

6 She thanked everyone for attending and in moving forward, hoped to bring the community back together . President Newell asked if there were any questions from the floor. Questions/comments included when will the completion of 644 be? Will they open the emergency gate while they pave? and with the high cost of fuel will it affect our budget? All three questions were answered by Administrator Miller. President Newell announced the results of the election. Clint Robertson, Eddie Shuff, Marjorie Klawiter and Michael Houliston are the newly elected Board Members. President Newell thanked the Tally Committee. A Certificate and gift card was given to Rick Childs for years of service on the MPOA Board of Directors.

7 President Newell appointed Michael Houliston, Dorothy Kasten, and Ed Bridges to the Nominating Committee. At 2:57 PM a motion to adjourn was made by Clint Robertson with a seconded by Rick Childs. The motion carried. Respectfully submitted, Crystal Reamey, Recording Secretary
