6 This MODEL IMA has some boilerplate clauses but please note that the boilerplate clauses used do not represent an exhaustive list, as we understand that you may wish to utilise your own house terms. Therefore, this MODEL IMA will need to be adapted to reflect your specific circumstances and needs. You should not rely on this as an exhaustive guide or recommended Agreement contains proposed wording for allocation of risk between the parties such as the standard of care that may be appropriate and on VAT.
