1 PHOTO/FOOTAGE RELEASE licensor ( owner ): Address: Phone: Fax: Description of footage /Still: For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, owner hereby grants _____ ( Producer ) and its successors, licensees and assigns, the right, but not the obligation, to incorporate the film footage , video footage , and/or still photograph(s) described above (the Property ) in any manner Producer sees fit in Producer s film or video production tentatively entitled _____ and in any revisions, segments, clips, edits, modifications or derivative works thereof of any variety (collectively, the Production ), and to use and authorize others to use the Property as so incorporated in the Production in the distribution, sale, licensing, marketing, advertising, promotion, exhibition and other exploitation of the Production in all markets and media (whether now known or hereafter developed), throughout the universe, in perpetuity.

2 owner warrants and represents that owner has the right to grant all rights granted herein and Producer and/or Producer s use of the Property as permitted herein will not infringe on the rights of any third party, including without limitation any persons appearing in the Property. owner will indemnify and hold Producer and its successors, licensees and assigns, harmless from and against any and all claims, damages, liabilities, costs and expenses arising out of any breach of the foregoing warranty. owner further understands and agrees that (a) owner shall have no right to inspect or approve any portion of the Productions or other materials produced hereunder, (b) (b) owner shall not be entitled to any compensation or credit by virtue of this RELEASE and (c) in no event shall owner have the right to seek or obtain injunctive or other equitable relief in connection with the Property or the development, production, distribution or exploitation of the Production.

3 owner acknowledges that Producer will rely on this permission potentially, at substantial cost to Producer and owner hereby agrees not to assert any claim of any nature whatsoever against anyone relating to the exercise of the permissions granted hereunder. This RELEASE will be governed by the laws of the State of New York applicable to contracts to be wholly negotiated and performed in New York. Any claim, dispute or disagreement with respect to this RELEASE will be submitted to the state or federal courts within the Borough of Manhattan in the State of New York, which courts will have exclusive jurisdiction, and the parties consent to jurisdiction in those courts.
