This new PRICE list cancels all previous prices and customers should apply normal discounts without any manual increase. Any quotations or existing PRICE contracts in effect on March 4, 2013 will be honored until their expiration date. JCM holds the current Freight Allowance which remains at $2, net order. This increase is generally 4% with varying increases on certain product lines including Optimum Range Couplings, Large Diameter Steel Couplings, Gas Repair Clamps, Fabricated Bell Joint Leak Clamps and Tools. This adjustment is in response to the rising costs of raw materials, labor and the economic factors affecting manufacturers.

2 A product upgrade featured in this book is the JCM Carbon Steel Fabricated Tapping Sleeves alloy bolts & nuts furnished with fabricated tapping sleeves will be standard Epoxy Coated, Powercron 590-534. To encourage early payment a one percent (1%) Cash Discount will be allowed on all invoices paid not laterthan fifteen (15) days from invoice date. Payment of full invoice amount is due within thirty (30) days from invoice date. Past due accounts are subject to the maximumlegal rate of interest. Payment is to be in dollars.(3) TAXAll sales, use or other taxes imposed on any transaction between JCM Industries, Inc. and the Buyer shall be paid in full by Buyer. Such taxes will be added to the amountshown payable on the invoice. (4) BIDS AND QUOTATIONSS pecific bids and quotations will be honored for thirty (30) days from written quotation unless otherwise specified therein.

9 Buyer may with the express written consent ofJCM Industries, Inc. make changes in the specifications for material or work covered by the contract. In such event the contract PRICE and delivery dates shall be equitablyadjusted. JCM Industries, Inc. shall be entitled to payment for reasonable costs and expenses incurred by it for works and materials rendered unnecessary as a result ofsuch changes and for works and materials required to effect said changes, plus JCM Industries, Inc. usual profit thereon.(5) FREIGHT, SHIPMENT AND TITLEAll sales are made JCM Industries, Inc. shipping point. JCM Industries, Inc. shall have the right to select the carrier and route of shipment. Title for products shippedby JCM Industries, Inc. passes to Buyer upon delivery to the carrier.(6) INSPECTION AND CLAIMSAll products and parts shall be finally inspected and accepted within ten (10) days after receipt.

10 All claims whatsoever by Buyer (including claims for shortages) exceptingonly those provided for under the Warranty and Limitation of Liability clauses hereof must be made within said ten (10) day period or they are waived. Title and risk of lossor damage to products shipped by JCM Industries, Inc. passes to the Buyer upon delivery to the carrier. JCM Industries, Inc. will not file claims against carriers for Buyerbut will render reasonable assistance to Buyer in filing any such claim. (7) RETURNS AND CANCELLATIONSR eturns will be accepted only with prior written authorization by JCM Industries, Inc. All returns made without prior written authorization will be refused or returned to theshipper at his expense. Authorized returns are subject to a fifty percent (50%) or a minimum twenty-five dollars ($ ) handling charge. No credit will be allowed forproducts which cannot be made resalable, products manufactured to Buyer s specifications nor any obsolete products.
