9 The number of directors is determined by a company's articles of association; however, the Israeli CompaniesLaw states that listed companies are required to have at least two independent "external" or "outside" directors. The lawstates that external directors must be independent of the Company's controlling shareholders for the last two years, or inthe absence of a controlling shareholder, may not have a business relationship with the Company's chairman, CEO,significant shareholder, or senior financial officers.
