1 release , INDEMNIFICATION AND hold harmless agreement This agreement is executed effective this_____ day of _____, _____ by _____, whose address is_____, hereinafter referred to as Indemnor , in favor of and for benefit of The City of South Pittsburg, Tennessee, The Princess Theatre, and all of its officers, directors, employees, and members, individually and without limitation the parties, and hereinafter referred to as City of South Pittsburg . WHEREAS, Indemnor desires to herby release , indemnify and hold harmless from any and all damages associated with the reservation and/or rental of The Princess Theatre, located at 215 Cedar Avenue, South Pittsburg, Tennessee.

2 The Indemnor assumes full risk of any loss, injury or damages whatsoever occurring while indemnor, is in, on, or around the property owned by The City of South Pittsburg. WHEREAS, Indemnor desires to indemnify and hold harmless The City of South Pittsburg from and for, any and all liability, claims, suits, proceedings, demands, losses, damages, or expenses of any name or nature, including administrative orders, proceedings, and arbitration, which The City of South Pittsburg sustains or incurs, including all claims regarding property loss, personal injury or death, resulting in any way, or in any manner connected with Indenmor s use, occupation, or location on or around The Princess Theatre.

3 Owned and operated by The City of South Pittsburg, Tennessee. WHEREAS, The City of South Pittsburg makes no warranty or representations in regard to whether or not the facilities are fit for the intended use by the lease and that the lease accepts the premises in an as is, where is condition without any warranty. NOW, THEREFORE, for good and valuable considerations, the receipt and sufficiency of which is hereby acknowledged, including the permission to use property owned or controlled by The City of South Pittsburg, Indemnor hereby agrees to release , indemnify and hold Indemnities harmless from any and all personal injury, property damage or other injuries or damages sustained by Indemnor, Indemnities, Third Parties and any and all persons whosoever resulting in connection with.
