1 SAN ANDREAS RECREATION AND park DISTRICT . BYLAWS . REVISED. May 17, 2010. Name of the DISTRICT : The name of the DISTRICT shall be San ANDREAS RECREATION and park DISTRICT . Referred to herein as the DISTRICT . Our Mission: The mission of the San ANDREAS RECREATION and Parks DISTRICT is to offer RECREATION opportunities, whether in building facilities owned and maintained for the public or in providing public park settings, to the residents of San ANDREAS , California and surrounding communities. We endeavor to address the public recreational needs of a diverse population, ranging from the very young to seniors, in a manner that recognizes the various needs of these residents and all visitors to Calaveras County.

2 Master Plan A Master Plan is necessary to implement various park programs including the collection of parkland dedication fees under the Quimby Act. The plan will guide the DISTRICT 's growth for the next 20 years. The Master Plan shall be reviewed and updated as needed. As the DISTRICT 's population grows, so should the San ANDREAS RECREATION and park DISTRICT . Office of the DISTRICT : Box 24 San ANDREAS , Ca. 95249. Board of Directors: 1. The Board of Directors for the San ANDREAS RECREATION and Parks DISTRICT are publicly elected officials. The Board of Directors for San ANDREAS RECREATION and Parks DISTRICT finds and declares that it has need for a set of rules and BYLAWS governing the meetings of the Board of Directors, officers, committees, and other miscellaneous items relating to the Board administration.

3 The Board is responsible for the overall policy, direction and finances of the DISTRICT , and delegates responsibility for day-to-day operations of all the facilities under its jurisdiction. Agreements Each board of directors shall receive a copy of all Agreements, Policies, Contracts as well as copies of the current By-laws & Master Plan. Staff will maintain and have in his/her possession at each DISTRICT meeting the minutes (agendas) for the current fiscal year. The minutes (agendas). for the previous fiscal years will be kept in an orderly manner at the DISTRICT office in the Town Hall. Officers: The Board of Directors for the DISTRICT shall consist of a Chairperson and Vice Chairperson, and three (3) Directors at large.

4 The Chairperson and the Vice-Chairperson shall be selected from among members of the Board at the first meeting of the year (January). All powers of office are shared equally amongst all Directors. The term of office for all offices of the Board of Directors is four (4) years. Chairperson: The Chairperson shall preside at all meetings of the DISTRICT . Except as otherwise authorized by the DISTRICT , the Chairperson shall submit such recommendations and information as he/she may consider proper concerning the business affairs and polices of the DISTRICT . Vice Chairperson: In the Chairperson's absence, or inability to act, the Vice Chairperson shall perform all acts and duties of the Chairperson.

5 Secretary: Secretary for the DISTRICT is a paid outside independent contractor and is not a board member. Referred to herein as Staff . 2. Staff shall keep the records of the DISTRICT , shall act as Secretary of the meetings of the DISTRICT , record all votes and shall keep a record of the proceedings of the DISTRICT in a journal of proceedings to be kept for such purpose and shall perform all duties incident to his or her office. He/She shall keep in safe custody, all contracts and instruments authorized to be executed by the DISTRICT . Additional Duties: The officers of the DISTRICT shall perform such other duties and functions as may from time to time be required by the DISTRICT or the by-laws or rules and regulations of the DISTRICT .

6 Vacancies: All vacancies that occur regarding the Board of Directors shall be filled according to the provisions of California Government Code section 1780 and any other code sections of the California Government Code and/or special DISTRICT 's codes then applicable. Parliamentary Authority: Robert's Rules of Order shall be authority on all questions of parliamentary law, unless in conflict with these BYLAWS or with the laws of the State of California. Quorum: A quorum must be attended by at least three (3) Board members before business can be transacted or motions made or passed. A majority vote shall require an affirmative vote by a majority of the Board, not a majority of the quorum. Regular Meetings: Regular meetings of the Board shall be held on the Third Monday of each month, at the hour of 6:00 ; provided that, if said Monday falls upon a holiday designated in Section 6700 of the Government Code of the State of California, such regular meeting shall be held at 6:00 on the next business day.

7 Notices of Meetings: Public notice of the regular meetings of the Board shall be required in accordance with the laws of the State of California, Brown Act. 3. Special Meetings and Adjourned Meetings: Special Meetings and Adjourned Meetings shall be noticed and conducted in accordance with the Ralph M. Brown Act, Government Code Section 54950. Meetings Open To Public: All meetings of the Board shall be open and public, and all persons shall be permitted to attend all meetings, except Closed Sessions of the Board held in accordance with the law, Brown Act. Closed Meetings: Closed meetings are the exception and permitted only if they meet defined purposes and follow special requirements set-forth by the State of California, Brown Act Place of Meetings: All meetings of the Board shall be held within the DISTRICT 's jurisdiction.

8 Meeting location varies. The meetings shall be held at such place as is designated by the Chairperson and in accordance with the Brown Act. Public Participation: Oral public comment and participation will be normally limited to items marked Public comment on the Agenda. All other comments should be submitted in writing to Staff prior to the meeting for reproduction and distribution to the Board. Any person may address the Board at the commencement of the meeting on any matter within the jurisdiction of the Board. The Chairperson requests that each person addressing the Board limit himself to five (5) Minutes. Minutes: Minutes of the Board meeting shall be prepared and mailed or e-mailed to each director prior to the next regular Board meeting by Staff.

9 Such minutes shall not include the text of ordinances and resolutions adopted, which may also be recorded in separate volumes by Staff. Staff will maintain and have in his/her possession at each DISTRICT meeting the minutes (agendas) for the current fiscal year. The minutes (agendas) for the previous fiscal years will be kept in an orderly manner at the DISTRICT office in the Town Hall. 4. Board Agenda: All requests from the public for an item to be placed on the Agenda must be submitted to Staff at least four days (Excluding Weekends & Holidays) prior to the meeting, unless it is an emergency as determined by the Board. RULES GOVERNING COMMITTEES: Definitions: Unless otherwise qualified in this section, the term committee includes standing committee, special committee, ad hoc committee, and subcommittee.

10 Standing Committees: The Chairperson shall appoint the members of committees as deemed necessary and proper. Committee members shall meet at such times and places as directed by the Chairperson or as deemed convenient by the members of the committee. Special Meetings: Special meetings of any committee may be called upon order of two members of the committee. Reports: The reports of the committee may be in writing: provided, however, that oral reports shall be permitted on confidential, personnel, or other sensitive matters which may be discussed in lawful closed sessions of the full Board. Reports of standing, special and ad hoc committee shall be addressed to the Board of Directors; reports of a subcommittee shall be addressed to its parent standing committee.
