1 STANDARD PLAYER / AGENT CONTRACT . this agreem ent made and entered this ( ) day of , 201__ by and between Conception Sports M anagement, LLC, a New Jersey Limited Liability Company, having offices at Continental Plaza, 411 Hackensack Avenue, Suite 213, Hackensack, New Jersey 07601, whose President/ AGENT is Douglas Anton (hereinafter referred to as AGENT ) and _____ _____ , residing at (hereinafter referred to as PLAYER ). W HEREAS PLAYER desires to sign with CSM as their sole and exclusive representation as a professional athlete for the territory of the world, and W HEREAS CSM is a full service Sports Management / Sports Agency company who desires to represent PLAYER , and W HEREAS CSM and PLAYER desire to enter into this agreement for CSM to seek to shop and/or place the PLAYER with a Basketball Team in any location other than the United States territory (for which an NBA CONTRACT would need to be executed), and W HEREAS CSM President is a licensed NBA PLAYER AGENT .

2 Even though CSM is not required to be a FIBA. AGENT to enter into this agreement with you, we believe our players and this agreement between us and our players should be at least informally, entitled to some uniformity in terms and entitled to some of the same general standards as are commonly used in the international basketball market, which are promulgated by FIBA, Federacion Internationale de Basketball, as well as formally, general CONTRACT law principles in the State of New Jersey. As a result, this agreement is modeled in part, upon the standards and practices promulgated by FIBA, but applied to this , a United States based CONTRACT , governed by the laws of the State of New Jersey, where CSM is located and where this CONTRACT is being offered, It is now understood and agreed as follows: 1.

3 Engagement . The PLAYER hereby employs the AGENT as its sole and exclusive AGENT and the AGENT hereby agrees to act as AGENT for the PLAYER . The AGENT shall advise, assist and represent the PLAYER in connection with the engagement of the PLAYER as a skilled basketball PLAYER by clubs worldwide (excluding the United States which shall be governed by our NBA PLAYER AGENT agreement ). Particularly, the AGENT shall introduce the PLAYER to any basketball club and/or co- AGENT which might be interested to retain his services, shall then negotiate on behalf of the PLAYER the relevant PLAYER CONTRACT to be signed by the PLAYER and will subsequently liaise and deal in the PLAYER 's interest with the club and/or co- AGENT on all matters of interest for the PLAYER in connection with his engagement with the club or team.

4 AGENT shall also represent the PLAYER 's interests in all other areas of the exploitation of his talent, name and likeness in any form of media or other, including but not limited to product endorsements, appearances, media campaigns or any other area where his/her talent and/or celebrity is to be exploited for or without compensation. 2. Parties to this agreement Governed by New Jersey Law. The Parties agree that their relationship under this CONTRACT , in particular their respective right and duties to each other, shall be governed by general CONTRACT law as is mandated by the laws of the Sate of New Jersey as between the PLAYER and AGENT . The parties agree to be guided in their negotiations with clubs, when practicable to do so, by FIBA. internal regulations as it may effect a PLAYER and/or AGENT in dealings with clubs or co-agents.

5 3. Compensation For any CONTRACT procured by the AGENT or any one on AGENT 's behalf, and signed by the PLAYER , the PLAYER agrees to pay to the AGENT an AGENT fee of 10% (Ten Percent) of the PLAYER 's gross salary until the expiration/termination date of any PLAYER CONTRACT executed pursuant to this agreement or any extension, renewal or modification of the PLAYER 's CONTRACT with a club, whichever occurs later; provided, however, that either party may terminate this agreement effective 1. fifteen (15 ) days after written notice of termination is given to the other party. Upon being terminated pursuant to the above provision, the AGENT shall nevertheless, still be entitled to be compensated in the same fashion as it was during the term of the agreement and for any extension, renewal or modification of the PLAYER 's CONTRACT with any club, whichever occurs later, at the same compensation rate listed above until said agreement and any extension, renewal or modification of the PLAYER 's CONTRACT with a club, whichever occurs later, has concluded or terminated without any further extension, renewal or modification of that Players's CONTRACT .

6 The Agents Fee shall be compensation for all the services that are, have been and will be provided by the AGENT according to this CONTRACT . The AGENT shall be entitled to reimbursement of any and all expenses advanced for the PLAYER out of Players compensation. H owever, the PLAYER is released from paying such compensation obligation as the primary payor in the event that the PLAYER CONTRACT includes a clause according to which the AGENT collects its AGENT fee directly from the club. 4. Term this agreement shall begin on the day of signature hereof by both parties and shall expire as set forth above or at the latest, two years from the date of this agreement , unless renewed by written agreement between the parties. Said termination will not effect the AGENT 's continuing right to receive compensation due it under this agreement , the PLAYER agreement with a club, or any continuing 3 rd party agreement , even if same was an agreement entered into post termination, so long as same stemmed from this agreement .

7 5. Entire agreement this is the entire agreement of the parties. Any amendments and/or additions to this agreement shall be made in writing; the foregoing shall also apply to any amendment to this clause 5. 6. Confidentiality The parties agree to keep confidential the contents of this agreement and any matters related thereto. 7. Notices All notices hereunder shall be effective if sent by certified mail, return receipt requested, postage prepaid to the following addresses for the parties. The parties signed below understand and agree to the agreement terms set forth above and have indicated same by signing on their respective places below.

8 Both parties acknowledge that they have been given ample opportunity to review this agreement by themselves and/or through the attorney or representative of their own choosing and are therefore signing this agreement freely, voluntarily and intelligently, knowing the ramification of all of this terms.
