2 Per the STATE of NEVADA procurement regulations, it is our intent to enter into an independent contract for a four (4) year period for each award beginning upon board of Examiners approval. Attached to this request you will find the STATE s standard Contract for Services of Independent contractor form for your review. Please give special consideration to Attachment A, Scope of Work EAP Intake Site Requirements, which identifies the services required. Attachment B, Insurance Schedule, as this identifies the insurance limits contracted vendors will be expected to maintain for the life of the contract, and Attachment F- AB 240 Vendor Certification. Please note that the selected vendor(s), prior to doing business in the STATE of NEVADA , must be appropriately licensed by the STATE of NEVADA , Secretary of STATE s Office pursuant to NRS 76.

3 Information regarding the NEVADA Business License can be located at Additionally, current STATE employees or former STATE employees, as defined in NRS , cannot perform services pertaining to this contract. All submitted proposals should address, at a minimum, the following: Contact person, email and telephone number for service inquiries; Estimated number or clients expected to serve per each STATE Fiscal Year (July 1 to June 30); Vendor s experience in EAP Intake Sites; A copy of the vendor s Certificate of Insurance; Vendor s NEVADA Business License Number; Company ownership and length of time in business; Specific information as requested above regarding services. Questions regarding this solicitation should be sent to no later than June 08, 2018 at 2pm PST. Responses will be provided in writing on June 13, 2018 to all vendors who submit questions.

4 Responses to this solicitation will be accepted on an ongoing basis. Written proposals received by June 27, 2018 at 2pm PST will be awarded a contract retroactively to July 01, 2018. Responses received after June 27, 2018 will be awarded a contract effective upon approval by the board of Examiners. 5 WHEREAS, NRS authorizes officers, departments, institutions, boards, commissions, and other agencies in the Executive Department of the STATE Government which derive their support from public money in whole or in part to engage, subject to the approval of the board of Examiners (BOE), services of persons as independent contractors; and WHEREAS, it is deemed that the service of contractor is both necessary and in the best interests of the STATE of NEVADA . NOW, THEREFORE, in consideration of the aforesaid premises, the parties mutually agree as follows: 1. REQUIRED APPROVAL. This Contract shall not become effective until and unless approved by the NEVADA STATE board of Examiners. 2. DEFINITIONS. A. STATE means the STATE of NEVADA and any STATE agency identified herein, its officers, employees and immune contractors as defined in NRS B.

6 Contracting Agency means the STATE agency identified above. C. contractor means the person or entity identified above that performs services and/or provides goods for the STATE under the terms and conditions set forth in this Contract. D. Fiscal Year means the period beginning July 1st and ending June 30th of the following year. E. Contract Unless the context otherwise requires, Contract means this document entitled Contract for Services of Independent contractor and all Attachments or Incorporated Documents. F. Contract for Independent contractor means this document entitled Contract for Services of Independent contractor exclusive of any Attachments or Incorporated Documents. 7 CONTRACT TERM. This Contract shall be effective as noted below, unless sooner terminated by either party as specified in Section 10, Contract Termination. Contract is subject to board of Examiners approval (anticipated to be Date ). Effective from: Date To: Date 4. NOTICE. All communications, including notices, required or permitted to be given under this Contract shall be in writing and directed to the parties at the addresses stated above. Notices may be given: (i) by delivery in person; (ii) by a nationally recognized next day courier service, return receipt requested; or (iii) by certified mail, return receipt requested. If specifically requested by the party to be notified, valid notice may be given by facsimile transmission or electronic mail to the address(es) such party has specified in writing.

8 5. INCORPORATED DOCUMENTS. The parties agree that this Contract, inclusive of the following attachments, specifically describes the scope of work. This Contract incorporates the following attachments in descending order of constructive precedence: ATTACHMENT AA: STATE SOLICITATION OR RFP # and AMENDMENTS # ATTACHMENT BB: INSURANCE SCHEDULE ATTACHMENT CC: contractor S RESPONSE Any provision, term or condition of an Attachment that contradicts the terms of this Contract for Independent contractor , or that would change the obligations of the STATE under this Contract for Independent contractor , shall be void and unenforceable. 6. CONSIDERATION. The parties agree that contractor will provide the services specified in Section 5, Incorporated Documents at a cost as noted below: $ per Total Contract or installments payable at: Total Contract Not to Exceed: $ The STATE does not agree to reimburse contractor for expenses unless otherwise specified in the incorporated attachments.

9 Any intervening end to a biennial appropriation period shall be deemed an automatic renewal (not changing the overall Contract term) or a termination as the result of legislative appropriation may require. 7. ASSENT. The parties agree that the terms and conditions listed on incorporated attachments of this Contract are also specifically a part of this Contract and are limited only by their respective order of precedence and any limitations specified. 8. BILLING SUBMISSION: TIMELINESS. The parties agree that timeliness of billing is of the essence to the Contract and recognize that the STATE is on a Fiscal Year. All billings for dates of service prior to July 1 must be submitted to the STATE no later than the third Friday in July of the same calendar year. A billing submitted after the third Friday in July, which forces the STATE to process the billing as a stale claim pursuant to NRS , will subject contractor to an administrative fee not to exceed one hundred dollars ($ ).

10 The parties hereby agree this is a reasonable estimate of the additional costs to the STATE of processing the billing as a stale claim and that this amount will be deducted from the stale claim payment due to contractor . Books and Records. contractor agrees to keep and maintain under generally accepted accounting principles (GAAP) full, true and complete records, contracts, books, and documents as are necessary to fully disclose to the STATE or United states Government, or their authorized representatives, upon audits or reviews, sufficient information to determine compliance with all STATE and federal regulations and statutes.
