ASX LISTING RULES Guidance Note 12 ASX Listing Rules Guidance Note 12 Page 1 9 March 2018 SIGNIFICANT CHANGES TO ACTIVITIES The purpose of this Guidance Note To assist listed entities and their advisers to understand how ASX applies Listing Rules to to transactions that may result in a SIGNIFICANT change to the nature or scale of a listed entity s ACTIVITIES The main points it covers The obligation of a listed entity to notify ASX of a proposed SIGNIFICANT change to the nature or scale of its ACTIVITIES under Listing Rules and When ASX will exercise its discretions under Listing Rule to require a SIGNIFICANT change to the nature or scale of a listed entity s ACTIVITIES to be approved by security holders and under Listing Rule to require a listed entity proposing a SIGNIFICANT change to the nature or scale of its ACTIVITIES to re-comply with ASX s admission and quotation requirements The requirement for the disposal of an entity s main undertaking to be subject to security holder approval under Listing Rule When
