Vodacom Group s articles of association allow shareholders to hold their shares in either certificated form (share certificate is issued) or uncertificated form (share is dematerialised and held through a Central Securities Depository Participant (CSDP) or broker). Shareholders who choose to hold share certificates must dematerialise their shares before they can trade their shares on the JSE. Dematerialisation of a share can take a few days and must be done through Computershare and your Central Securities Depository Participant (CSDP)/Broker.

6 13. What happens when I lose my share certificate? Please contact Computershare. They will assist you with the completion of a letter of indemnity which will come at a cost to the shareholder. Once the letter of indemnity is completed and the necessary fee paid, a duplicate share certificate will be issued. To avoid unnecessary costs, keep your share certificate in a safe place or dematerialise your shares which will then be held for you via your Central Securities Depository Participant (CSDP) or broker. Types of instructions we can receive for notification that a certificate is lost e-mail, fax and post.

7 A signed instruction from shareholder/executor/trix/ agent advising Computershare that the share certificate is lost. A proof of payment either paid by eft/direct deposit or cheque (preferably by eft/direct deposit). When we have received a proof of payment plus instruction Computershare will post Lost, Mislaid or Stolen Securities Indemnity form for completion. 14. When are dividends paid? Dividends are expected to be paid twice a year, these would be declared in May and November, payable in June/July and December of each year.

Yes, dividends can be paid into your bank account and this form of payment is encouraged. It is less than receiving a dividend cheque. 9 Please contact Computershare who will assist you with your claim. Computershare will require certain details from you including FICA information. As a result payment of your unclaimed dividend could be delayed. This is also one of the reasons Vodacom Group encourages payment of dividends into the shareholder s bank account. Dividends that are not claimed within 5 years of payment are forfeited to the company. 17. Who should I contact if I have lost a dividend cheque? If you have lost an historic dividend cheque you should contact our transfer secretary as soon as possible, confirming which payment has been lost.

10 They will then arrange for the cheque to be stopped and issue you with a duplicate. Please note there may be a fee for this service. 18. Unclaimed Entitlements Symphony Investor Communications has been appointed by Vodacom to trace stakeholders who have unclaimed entitlements owing to them (unclaimed dividends / odd-lot offer consideration).
