In the event of any conflict, inconsistency or ambiguity between the English and other language versions, the English version shall prevail. 2 Declares that: A) he/she has received a copy of the Saipem Code of Ethics (hereinafter the Code , available at the following address ) approved by Saipem and adopted by all the subsidiaries of Saipem (hereinafter collectively referred to as Saipem Group ). He/She acknowledges that Saipem s employees and officers are obliged to comply with the principles stated in the Code , in particular in all dealings, present and/or future, between Contractors/Suppliers and Saipem with regard to tenders and contracts for the supply of goods and services; Dichiara: A) di aver ricevuto copia del Codice Etico di Saipem (di seguito Codice , disponibile all'indirizzo ) approvato da Saipem e adottato da tutte le sue controllate (di seguito collettivamente Gruppo Saipem ).

3 Prende atto che i dipendenti e i funzionari di Saipem devono attenersi strettamente ai principi definiti nel "Codice", in particolare in tutti i rapporti, attuali e/o futuri, tra Appaltatori/Fornitori e Saipem per quanto riguarda appalti e contratti per la fornitura di beni e servizi; B) he/she has reviewed, also in the name of the Senior Management of the Company he/she represents, the contents of the Code ; B) di aver esaminato i contenuti del Codice , anche in nome degli organi di amministrazione della Societ che rappresenta; C) he/she undertakes, also in the name of Company s directors, employees and/or agents, to comply fully with the principles stated in the Code and to respect Human Rights in accordance with Saipem Sustainability Policy (available on the website ), in all dealings, present and/or future, between Company and Saipem Group with regard to tenders and contracts for the supply of goods and services.

4 C) di impegnarsi, anche in nome degli amministratori, dei dipendenti e/o degli agenti della Societ , ad agire in stretta osservanza ai principi definiti nel "Codice" e a rispettare i Diritti umani in conformit alla Politica di sostenibilit di Saipem (disponibile sul sito ) in tutti i rapporti, attuali e/o futuri, tra la Societ e il Gruppo Saipem per quanto riguarda offerte e contratti per la fornitura di beni e servizi; FORM VENDOR DECLARATION Doc. n. 6 E) the Company has given and implemented instructions to its directors, employees and/or agents aimed at preventing the commission or the attempt of any offence under the 1997 OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions (the OECD Convention ), the United Nations Convention Against Corruption and any applicable anti-corruption laws (for instance, the Italian Decree No 231 of 8 June 2001, the Foreign Corrupt Practices Act or any other anti-bribery laws, as the case may be).

8 231 dell'8 giugno 2001 e il Foreign Corrupt Practices Act Statunitense, laddove sia applicabile) e si obbliga nei confronti di Saipem a mantenerle tutte efficacemente attuate per l'intera durata della presente relazione commerciale; F) all the employees of the Company are regularly mentioned on the Pay Roll ( , in case of Italian Vendors: Libro Unico del Lavoro ) or all equivalent documents as requested by the corresponding national applicable law and all the obligations with regards to contributions and insurance have been fulfilled by the Company; F) che tutti i dipendenti della Societ sono regolarmente iscritti, nel caso di fornitori italiani nel Libro Unico del Lavoro ovvero in documenti equivalenti come previsto dalla corrispondente legge nazionale in vigore, e che la Societ ha adempiuto a tutti gli obblighi retributivi, contributivi e assicurativi relativi al proprio personale; G) to have received the Saipem informative for the treatment of personal data in accordance with Italian Legislative Decree No.

10 In the event of Trust(s) and/or fiduciary registration, however established, the Company shall also provide the identity of the relevant grantor(s), and its/their respective stake(s). I) La Societ si impegna, laddove richiesto da Saipem , a fornire informazioni relative alla catena di controllo (cognome e nome e/o ragione sociale dei soci e la relative percentuali di propriet ) e, nel caso di presenza di Trust/societ fiduciarie, a fornire cognome e nome e/o ragione sociale dei fiducianti e le relative percentuali di propriet.
