1 Speaking Engagement Agreement Thank you for agreeing to speak at Sage Intacct Advantage 2018 (the Conference ). The contributions by our customers and partners are invaluable to the success of the conference. As a presenter at an approved session at the Conference ( Speaker ), you agree that: x You will NOT advertise or solicit business in your oral and/or written presentation and support materials. x Sage Intacct may reproduce, print, publish, broadcast or disseminate in any medium, your name, likeness, voice and biographical material for purposes of trade or advertising in connection with the Conference. Sage Intacct may make audio and video recordings of your performance at the Conference and include portions of such recordings or photography in Sage Intacct's media publications. x Speaker changes requested after the acceptance of your session are subject to review by Sage Intacct and may cause session cancellation.
2 Sage Intacct must be notified of any changes as soon as possible and in any event at least 72 hours before the start of your session. x Each approved session will be granted one complimentary full conference registration pass. Sessions led by a Sage Intacct partner with a participating customer speaker will be granted one (1) additional complimentary registration pass. For customer panel sessions, we will provide up to three (3) passes for customer panelists. A 50% discount off the registration fee will be provided to additional approved customer panelists. x You agree to meet the content deadlines and deliverables set forth by the Conference planning team, including but not limited to: o Submission of session outline: June 26, 2018 o Submission of presentation: July 24, 2018 o Final presentation approval: September 29, 2018 x You agree to be available to speak at any time during the duration of the main Conference (October 24-26, 2018).
3 Session schedules will not be finalized or communicated until August 2018 and may be changed upon prior notice. x Sage Intacct has the right to cancel any session due to low session registration or failure to meet content quality expectations and/or deadlines. If a complimentary registration pass has been used prior to the cancellation, you may be required to pay all, or a portion of that cost upon cancellation. x You consent to Sage Intacct s perpetual, irrevocable use of and grant it the non-exclusive, world-wide, royalty free, right to record, reproduce, edit, display, distribute, license, and create derivative works from the Speaker s presentation and all related support materials from the Conference (collectively, the Presentation and Support Materials ) with the terms and conditions of this Agreement without further permission from Speaker or other consideration. This includes any supporting materials, such as materials provided in connection with your presentation.
4 For panel or joint presentations, such rights are limited to your portion of the Presentation and Support Materials. You represent that (i) you have the rights to publicly perform, distribute and grant the rights in this Agreement with respect to the Presentation and Support Materials, and (ii) the Presentation and Support Materials are not libelous or unlawful and do not infringe on any copyright or other proprietary, personal, or contractual right of any other party. x You release Sage Intacct (including its officers, directors, affiliates and employees) from any and all claims arising in connection with its use or distribution of the Presentation and Support Materials in accordance with this Agreement , including any claims of infringement or misappropriation. You understand and acknowledge that equitable relief is not available under this Agreement and your only remedy in the event of a dispute will be to seek monetary damages.
5 You understand that Sage Intacct is relying on this release to accept you as a Speaker at the Conference and to exercise the rights set out above. x This Agreement shall be governed by California law (excluding choice of law rules) and any dispute related to it shall be adjudicated by the federal or state courts in Santa Clara County, California.
