1 ! Supplier Diversity Policy Policy Overview It is AIG's Policy to identify and actively develop diverse businesses as sources for the procurement of goods and services. AIG also values suppliers that share AIG's dedication and commitment to Diversity and Social Responsibility. Towards this end, AIG. recognizes those non!diverse companies that provide employment opportunities and career growth opportunities to minorities and women, and who demonstrate a strong commitment to Supplier Diversity Accordingly, our Supplier Diversity Program (the Program ) has been established as a coordinated corporate plan to provide maximum practicable opportunity to certified diverse businesses and companies with robust Diversity programs, to participate as suppliers to AIG and its subsidiaries.

2 Second!Tier Initiative AIG's Second!Tier Initiative focuses on the role that Non Diverse suppliers play in creating a competitive advantage through a diverse Supplier base. The initiative helps to expand AIG's overall Supplier Diversity Development efforts by contractually requiring its primary suppliers to utilize and report their spending with diverse suppliers in the fulfillment of their contract with AIG. In addition, Non Diverse Suppliers may be required to report their Diversity hiring and career development results. The second!tier initiative serves as an enhancement to, and not as a replacement for, existing efforts aimed at increasing meaningful opportunities for diverse suppliers to participate as direct, or primary suppliers.

3 Definition of Diverse Supplier For the purposes of the Program, AIG considers a corporation to be a diverse Supplier if it can be categorized as one of the following: Minority Business Enterprise (MBE). A for!profit enterprise, regardless of size, physically located in the United States or its trust territories and is at least 51% owned, operated and controlled by a citizen(s), or in the case of a publicly owned business, at least 51% of the stock is owned by one or more such individuals who is a member(s) of a minority group. Further, the management and daily operations should be controlled by one or more of such minority group members. Minority group definitions are as follows: African American: A person having origins in any of the black racial groups of Africa Asian Indian: A person whose origins are from India, Pakistan and Bangladesh Asian Pacific: A person whose origins are from Japan, China, Indonesia, Malaysia, Taiwan, Korea, Vietnam, Laos, Cambodia, the Philippines, Thailand, Samoa, Guam, the Trust Territories of the Pacific or the Northern Marianas 2!

4 Hispanic American: A person of true!born Hispanic origin from any of the Spanish speaking areas of Latin American or the following regions: Mexico, Central America, South America and the Caribbean basin only Native American: A person who is American Indian, Eskimo, Aleut or Native Hawaiian and who is regarded as such by the community of which the person claims to be a part. Native Americans must be documented members of a North American tribe, band or otherwise organized group of native people who are indigenous to the continental United States and proof can be provided through a Native American Blood Degree Certificate ( , tribal registry letter, tribal roll certificate number). Individual(s) must be involved in the day!to!day management of the business. Disabled Veteran Business Enterprise (DVBE): A for!profit enterprise, regardless of size, physically located in the United States or its trust territories, and is at least 51% owned, operated and controlled by an individual(s) who has/have performed active service in one of the United States armed services and has/have a disability. Individual(s) must be involved in the day!to!day management of the business. Lesbian, Gay, Bisexual, and Transgender (LGBT): A for!

6 Profit enterprise, regardless of size, physically located in the United States or its trust territories and is at least 51% owned, operated, controlled and managed by a LGBT. individual(s) of citizenship. Individual(s) must be involved in the day!to!day management of the business. HUB Zone Small Business Concern (HUB Zone): A small business, located in a HUB Zone (Historically Underutilized Business Zone), owned, operated and controlled by one or more citizens, and at least 35% of its employees reside in a HUB Zone. Small 8(a) Business: A small business unconditionally owned, operated and controlled by one or more socially and economically disadvantaged citizens of the United States, and demonstrates potential for success.

7 Minority Business Enterprise (MBE). CVM Supplier Locator is a Diversity and small!business sourcing directory searchable through an internet portal. The database allows sourcing and procurement professionals to identify potential small and/or diverse business suppliers for sourcing opportunities and projects, based on a variety of criteria. Because the database is updated daily, it contains by far the most accurate information on the largest number of diverse and small!business suppliers.
