6 (h)usetheServicetoencourageorfacilitatea nyillegalactivities,breakanyLaws,includi ngbutnotlimitedtothoserelatedtoe-commerc e,defamation,copyright or privacy;(i)postortransmitviatheServicesa nymaterialthatis,inouropinion,likelytoca useannoyance,orwhichisracist,obscene,thr eatening,pornographicorotherwisewhichisd etrimentaltoorinviolationofDrawboard sorathirdparty s systems or network ,andmustnotpermitanyEndUsersassociatedwi thyourCustomerAccount or anyone else to):(a)sublicense,sell,resell,transfer,a ssign,distributeorotherwisecommerciallye xploitormakeavailabletoanythirdpartytheS ervicesinanywayorreverseengineer or access the Services to:(i)build a competitive product or service to any of the Services;(ii)buildaproductusingsimilarid eas,features,functionsorgraphicsofthe Services; or(iii)copyanyideas,features,functionsor graphicsincorporatedintotheServices;(b) ownsintellectual propertyrights in the Servicesand Customer Data?

7 This clause :(a)CustomerContentmeansdata,information ,content,images,plans,drawings,documents ,annotations,markupsorothermaterialorinf ormationofanytypethatyouuploadorisupload edtoanyCustomerAccountorEndUserAccount associated with you;(b)Drawboard s Intellectual Propertymeans:(i)all Intellectual Property Rights subsisting in:(A)theServices,anytrademarksorbrandna mes,andanyadvertising and promotional materials used by Drawboard;(B)any modified, additional or substituted Intellectual Property; and(C)anyothermaterialsprovidedbyDrawboa rdtotheCustomer,includingbutnotlimitedto instructionalmaterials,scriptsandrelated documentation; and(ii)anythingcreatedduringthedevelopme ntofthethingslistedabove,includingsoftwa re,HTML codes,CSSstylesheets,JavaScriptCode,sour ceandobjectcodes,scripts,records,documen ts,specifications,plans, program listings, designs, calculations and drawings; and(c)Intellectual Property Rightsmeans any:(i)copyright;(ii)design,patent,trade mark,semiconductor,orcircuitlayoutrights (whether registered, unregistered or applied for);(iii)trade, business, company or domain name; and(iv)know-how,tradesecret,inventions,p rocesses,confidentialinformation(whether in writing or recorded in any form).

8 Andanyotherproprietary,licenceorpersonal rights(includingwithoutlimitationmoralri ghts)arisingfromintellectualactivityinth ebusiness,industrial,scientific or artistic ,titleandinterest,inDrawboard sIntellectual ,includingIntellectualPropertyRights, in the Customer sPrivacyPolicy,yougranttoDrawboard,ormus tprocurethegranttoDrawboardof,anon-exclu sive,worldwide,irrevocable,royalty-freel icence(includingtherighttosublicense)tou seanddeveloptheIntellectual Property Rights in the Customer Content to the extent required to:(a)enableDrawboardtoexerciseitsrights anddischargeitsobligationsundertheseTerm s,includingtoprovideorsupporttheServices ,andtooffertoprovide you with any other goods or services (including other products);(b)generateaggregateddatasets, reportsandanalysisrelatingtotechnicaldat aaboutcustomeruseoftheServicesinaformtha tisanonymisedanddoesnotidentifyyouoranyi ndividual(AggregatedData).

9 Youacknowledgeandagreethat Drawboard will own all Intellectual Property Rights in Aggregated Data.(c)DrawboardmayuseAggregatedDatatoa nalyse,improve,supportandoperate the Services and for related internal business OF is liabilitylimited under theseTerms? ,theServicesandanyothergoodsorservicespr ovidedbyDrawboardtoyouareprovidedonan asis basis,andDrawboarddoesnotmakeanyrepresen tationorwarranty(expressorimplied)inresp ectoftheServicesoranyothergoodsorservice sprovidedbyDrawboardtoyou,including,with outlimitation,anyimpliedwarrantyofmercha ntability,offitnessforaparticularpurpose ,thatoperationoftheServiceswillbeuninter ruptedorerrorfree,thatalldefectswillbeco rrected,orthatDrawboardwillmaintain Customer Content without loss or Consumer forthepurposesofSchedule2oftheCompetitio n and Consumer Act 2010 (Cth) (ACL), thefollowing provisions apply:(a)in this clause :(i)Consumer; and(ii)Consumer Guarantee,each have the same meaning as under the ACL;(b) major failures with the Services, you are entitled:(i)to cancel your Subscription Plan.

10 And(ii) not amount to a major failure.(c)IftheServicesfailtomeetanyCon sumerGuarantee,andthetotalamountpaidbyyo ufortheServicespursuanttotheseTermsisles sthanthethenapplicablestatutorymonetaryt hreshold(currently,AUD$100,000),Drawboar d sliabilitytoyouforfailuretomeetsuchConsu merGuaranteeislimited,totheextentpermitt edbyLaw,to(atDrawboard selection) ,innoeventwillDrawboardbeliabletoyouoran ythirdpartyinconnectionwiththisAgreement ,whetherincontract,tort,equity,statute or otherwise for:(a)your misuse of the Services, acts or omissions of your personnel;(b)outagesorinterruptions,oran ydamageorlosses,arisingfromnetworksorweb sites outside of Drawboard s control;(c)anyinjury,damagetoproperty,or losstoanypersoninrelationtoyouruseofthe Services; or(d)lossofprofits,lossofrevenue,lossofa nticipatedsavings,lossofuse,lossorcorrup tionofdata,costsofdelayorprocurementofsu bstituteorreplacementgoodsandservices,bu sinessinterruption,failureofsecuritymech anisms,lossofgoodwill,andanyotherformofi ndirect,incidental,specialorconsequentia l or punitive ,innoeventwilleitherDrawboard soryouraggregateliabilityforanyclaimsinc onnectionwiththeseTermsexceedthetotalFee sactuallypaidbyyouforanyServicesduringth etwelvemonthperiodimmediatelypriorto the event giving rise to the AND how long dothese Terms apply?
