1 Conflict of Interest Policy for the Alliance for Women and Children (formerly the YWCA of Abilene) The purpose of the fol lowing pol icy and procedures is to prevent the personal Interest of sta ff members, board members, and volunteers from interfering wit h th e performance of t he ir duties to Al l i ance for Women and Ch i ldren, or result in persona l f inancia l , professiona l , or pol i t ica l ga in on the part of such persons at t he expense of A l l i ance for Women and Ch i ldren or its Members, supporters, and other stake holders. Definitions: Conflict of Interest (a lso Conf l ict) means a confl ict, or the appearance of a confl ict, between t h e priva te interests and off ici a l responsibi l i t ies of a person in a posi t ion of trust.

2 Persons in a posi t ion of trust include staf f members, off icers, and board members of Al l i ance for Women and Ch i ldren. Board means the Board of D irectors. Officer means an off icer of t he Board of D irectors. Volunteer means a person -- other th an a board member -- who does not receive compensat ion for services and expertise provided to Al l i ance for Women and Ch i ldren and reta ins a signif icant independent decision-mak ing aut hori ty to commit resources of the organiza t ion. Staff Member means a person who receives a l l or part of her/h is income from the payrol l of Al l i ance for Women and Ch i ldren. Member means a Member of A l l i ance for Women and Ch i ldren.

3 Supporter means corpora tions, foundations, individua ls, 501 (c ) (3) nonprofi ts, and other nonprofi t organiza t ions who contribute to A l l i ance for Women and Ch i ldren. Policy AND PRACTICES 1. Ful l disclosure , by notice in wri t ing, sh a l l be made by t h e interested part ies to the ful l Board of D irectors in a l l confl icts of Interest , including but not limi ted to the fol lowing: a. A board member is rel a ted to another board member or staf f member by blood, marri age or domestic partnersh ip. b. A sta ff member in a supervisory capaci ty is re l a ted to another staf f member whom she/he supervises. c. A board member or the ir organiza t ion stands to benefi t from a Al l i ance for Women and Ch i ldren transaction or sta f f member of such organiza t ion receives payment from Al l i ance for Women and Ch i ldren for any subcontract, goods, or services other th an as part of her/h is regular job responsibi l i t i es or as reimbursement for reasonable expenses incurred as provided in t h e byl aws and board pol icy.

4 D. A board member's organiza t ion receives grant funding from Al l i ance for Women and Ch i ldren. e. A board member or staf f member is a member of the governing body of a granting enti ty to A l l i ance for Women and Ch i ldren. f. A board member, sta f f member, or an immedi a te f ami l y member is a cl ient of the A l l i ance for Women and Ch i ldren program(s). g. A volunteer work ing on beh a l f of A l l i ance for Women and Ch i ldren who meets any of t he si tuat ions or criteri a l isted above. 2. Fol lowing ful l disclosure of a possible confl ict of Interest or any condi t ion l isted above, the Board of D irectors sh a l l determine whe t her a confl ict of Interest exists and, if so the Board sh a l l vote to aut horize or reject the transaction or take any other act ion deemed necessary to address the conf l ict and protect A l l i ance for Women and Ch i ldren s best interests.

5 Bot h votes sh a l l be by a majori ty vote wi t hout counting the vote of any interested director, even if t he disinterested directors are less t h an a quorum provided th a t a t le ast one consenting director is disinterested. 3. A Board member or Committee member who is forma l l y considering employment wit h A l l i ance for Women and Ch i ldren must take a temporary le ave of absence unti l t he posi tion is fi l l ed. Such a le a ve wi l l be taken wi t h in the Board member's elected term wh ich wi ll not be extended because of t h e le ave. A Board member or Committee member who is forma l l y considering employment wi t h A l l i ance for Women and Ch i ldren must submit a wri tt en request for a temporary le ave of absence to t h e Secretary of the A l l i ance for Women and Ch i ldren Board, c/o the Al l i ance for Women and Ch i ldren s off ice, indica t ing the time period of t he lea ve.

6 The Secretary of A l l i ance for Women and Ch i ldren wi l l inform the Ch a ir of the Board of such a request. The Ch a ir wi l l bring the request to the Board for action. The request and any act ion taken sh a l l be ref lected in the off ici a l minutes of the A l l i ance for Women and Ch i ldren. 4. An interested Board member, off icer, or sta ff member sh a l l not particip a te in any discussion or debate of the Board of Directors, or of any committee or subcommittee thereof in wh ich the subject of discussion is a contract, transaction, or si tua t ion in wh ich t here may be a perceived or actua l confl ict of Interest . However, they may be present to provide cl ari f y ing informa t ion in such a discussion or debate unless objected to by any present board or committee member.

Anyone in a posi t ion to make decisions about spending A l l i ance for Women and Ch i ldren s resources ( i .e., transactions such as purch ases contracts) who also stands to benef i t from th a t decision h as a duty to disclose th a t confl ict as soon as i t arises (or becomes apparent); s/he should not part icip a te in any fina l decisions. 6. A copy of th is pol icy sh a l l be given to a l l Board members, sta f f members, volunteers or other key stake holders upon commencement of such person's rel a t ionsh ip wi t h A l l i ance for Women and Ch i ldren or at t he off ici a l adoption of sta ted pol icy. Each board member, off icer, staf f member, and volunteer sh a l l sign and date the pol icy a t the beginning of her/h is term of service or employment and each ye ar there af ter.

8 Fa i lure to sign does not nul l i f y t he pol icy. 7. Th is pol icy and disclosure form must be f i led annual l y by a l l specif ied parties.
